Your tax conversation supplies the tax facts and choices. Terminal Tax uses those inputs for deterministic calculations, mechanical validation and packaging for transmission. Terminal Tax does not choose or change your tax treatments or provide personalized tax advice. You personally review and sign the complete return before it is transmitted.

TERMINAL TAX CUSTOMER TERMS These Terms are an agreement between you and Terminal Tax LLC, a New Jersey limited liability company. Contact: legal@terminal.tax 1. WHO AGREES, AND WHO CANNOT AGREE FOR YOU These Terms govern each person who uses the Terminal Tax filing session or signs a return through it. A return may have more than one required signer. Each signer agrees only for themselves and makes their own declarations. A legally authorized representative may act only where the taxing authority permits it and Terminal Tax has validated the required authority. NO ACT OF ANY CHATBOT, ASSISTANT, OR OTHER AUTOMATED AGENT IS YOUR ACT UNDER THESE TERMS, and no record or signature an agent creates is attributed to you. Terminal Tax does not accept an agreement, a declaration, a permission, an identity value, or a signature from an agent, and refuses one that is offered. If an agent attempts any of those, the filing stops rather than proceeding on the agent's word. Your agreement happens only through your own affirmative action on the Terminal Tax page. 2. WHAT THE SERVICE DOES Your tax conversation supplies the tax facts and choices. Terminal Tax uses those inputs for deterministic calculations, mechanical validation and packaging for transmission. Terminal Tax does not choose or change your tax treatments or provide personalized tax advice. You personally review and sign the complete return before it is transmitted. Terminal Tax checks the return facts supplied to it, computes the return from them deterministically under the forms and instructions for that tax year, packages the return, transmits it to each taxing authority the filing session shows as enabled for that exact return, and returns that authority's acknowledgement and status. It transmits to no other authority. If the filing your agent sends asks for a return to an authority Terminal Tax has not enabled, the session blocks the filing rather than filing part of it, and blocks it before you pay. If you may owe a return to a state or locality that the filing does not include, the session says before you sign that Terminal Tax is not filing it and that any obligation there remains yours. Terminal Tax does not conduct a tax interview, does not prepare a return through tax judgment, does not give tax or legal advice, does not infer a missing fact, does not choose a treatment, does not optimize a result, and does not use a language model to alter filing data. Blank or ambiguous required data blocks the return. Your chosen agent or other software is separate from Terminal Tax and is responsible for the tax conversation that produced the return. There is no Terminal Tax account, password, dashboard, return-history product, subscription, or customer-issued credential. A supported agent integration first creates only an empty, non-tax reservation and receives one opaque, short-lived filing-session link. Only after you acknowledge the privacy notice and separately permit Terminal Tax to receive your return at all may that integration send the completed return, which attaches to that waiting reservation. It cannot read the protected return back from Terminal Tax, receive a signing value, or transmit the return. 3. WHAT TERMINAL TAX CANNOT CATCH Terminal Tax's checks are mechanical, and they are not complete. Most unsupported situations are refused by name, before payment, and the refusal names the field that caused it. SOME SITUATIONS REST ENTIRELY ON YOUR AGENT'S WORD. Your agent states your federal residency or alien status and whether the return is original or amended. Terminal Tax mechanically refuses values outside the supported envelope, but it cannot verify that the stated values are correct: if your agent states them wrongly, a Form 1040-NR filer's facts would be built into a Form 1040 and an amended return's facts would transmit as an original, and Terminal Tax cannot detect either error. Because of that, the return-review screen states in its first block that what will be transmitted is an ORIGINAL return, and that Form 1040 is the return for a United States citizen or resident alien, and names Form 1040-X, Form 1040-NR, and Form 1040-SS as returns Terminal Tax does not transmit. YOUR OWN REVIEW OF THAT SCREEN IS THE ONLY CHECK ON THIS. Reviewing and signing the complete return is what you are here to do, and it is a real control - but it is a second line, not a refusal, and Terminal Tax will not describe it as one. If the return you need is not an original Form 1040 or Form 1040-SR for a United States citizen or resident alien, stop. 4. NO DOCUMENT UPLOAD Your source documents stay with you. Terminal Tax offers no upload, document vault, scanning intake, or document-custody service. A separately adopted step may one day accept one specifically named attachment that a taxing authority legally requires and Terminal Tax cannot generate; it is not built. Until it is, a return that needs such an attachment is blocked rather than falling back to an upload. 5. HOW YOU AGREE Before acceptance, the session displays these Terms in a form you can read, save, and print. You must affirmatively accept the identified version. Terminal Tax binds the version and cryptographic hash of the exact text you accepted to the filing-session evidence, with the time and origin evidence. Accepting these Terms is separate from the privacy notice acknowledgement, from each permission to collect information, from the return review, from each declaration a taxing authority requires, from the Self-Select PIN, from prior-year authentication, and from payment authorization. Declining any required act ends the session without transmission. An agent cannot perform any of these acts for you. 6. ELECTRONIC RECORDS AND YOUR CONSENT TO THEM Terminal Tax is an electronic filing service and communicates only electronically. Please read this section before you accept these Terms; by accepting them you consent to receive the records below electronically. WHAT THE CONSENT COVERS. Every notice, disclosure, agreement, permission, declaration, receipt, and record connected with your use of Terminal Tax and with each return you file through it. That includes these Terms, the privacy notice, each permission, the complete return shown for your review, each declaration, possession codes, payment receipts, acknowledgements from a taxing authority, rejection notices and correction instructions, and security notices. It is not limited to one transaction. HOW THEY ARE DELIVERED. In your browser during the filing session, and afterwards to the email address you enter in the session. Your mobile number receives only the code that confirms you hold the phone, never any other record. THERE IS NO PAPER CHANNEL AND NO PAPER COPY IS AVAILABLE. Terminal Tax cannot mail you a notice or a record, and a return cannot be filed through this service on paper. There is no fee for a paper copy because there is no paper copy. You can save or print every legal text and the complete return at the time it is shown to you, and you should. HOW TO WITHDRAW YOUR CONSENT, AND WHAT HAPPENS IF YOU DO. Before you sign, withdraw by closing the filing session without signing; nothing is transmitted and no fee is charged. After you sign, Terminal Tax cannot deliver the records connected with that filing any other way, so withdrawing consent means Terminal Tax can no longer serve you for that filing; the filing, and the records the law requires it to keep, are unaffected. There is no fee to withdraw. To withdraw, or to ask any question about this section, write to legal@terminal.tax. HOW TO UPDATE YOUR CONTACT INFORMATION. Enter the current email address and mobile number in the filing session. After the session, write to legal@terminal.tax. WHAT YOU NEED. A current web browser with cookies and JavaScript enabled, internet access, a device that can display and print or save a web page and a PDF, an email address you can access and retain messages from, and a mobile number that can receive an SMS text message. You accept these Terms by typing into the same browser page on which every one of these records is shown to you, which is how you can confirm you are able to read them. 7. WHO MAY USE THE SERVICE Terminal Tax is for individual income-tax returns inside the coverage the filing session shows as enabled before you pay. Coverage is determined by form, schedule, fact pattern, tax year, authority authorization, certification, and live capability - not by marketing language or future intent. Every required signer must complete their own review, identity, permission, declaration, and signature acts. A return for a minor or a person who has died is eligible only when the correct legal signer and authority evidence are supported. Paid preparers and people filing for unrelated clients may not use this service unless Terminal Tax separately enables and documents that relationship. 8. YOUR REVIEW AND YOUR SIGNATURE The session shows you the complete, immutable return that will be sent. You must review it before signing. Any change to it invalidates the prior review, permissions, terms acceptance, and signature evidence, and requires a new session. Each required signer must personally complete the possession and identity checks; review the complete return and the applicable disclosures; answer the source-form identity and possession confirmations; make each declaration the taxing authority requires; enter their own Self-Select PIN or other approved signing value; supply prior-year authentication; and authorize the applicable charges. THESE TERMS ARE NOT A DECLARATION AND CONTAIN NONE. Accepting these Terms declares nothing about your return and is not made under penalties of perjury. Each declaration under penalties of perjury happens later in the same session, on its own separate screen, in the exact words the taxing authority requires, and is signed there by your own keystrokes. Nothing in this section states, summarizes, or stands in for that declaration. NEVER GIVE A SIGNING PIN OR A POSSESSION CODE TO A CHATBOT, AND NEVER ASK ONE TO INVENT EITHER. 9. YOUR RESPONSIBILITIES You are responsible for the truth and completeness of the facts you supplied to your agent and of the return you sign; for choosing and supervising that agent; for keeping control of your filing link, email account, phone, PIN, and prior-year authentication information; for reviewing every return before signing; and for correcting a rejected return or filing another way before the deadline. When the session asks you to confirm a source form, you are representing that you hold the final version of that form - not a draft, a preview, or a pay stub - and that the identifying number you enter is the one printed on it. You must not use the service for fraud, unauthorized filing, identity theft, bulk filing, compensated filing for unrelated people, interference with the service, reverse engineering of security controls, or any unlawful purpose. 10. PRICE AND PAYMENT The price is 19.99 US dollars for the federal return, unless the session conspicuously shows a lower price before you authorize payment. Only the federal return can be selected for transmission today: no state or other jurisdictional return is offered, so there is no per-state price and no allocation between authorities. The session shows the complete maximum charge before you approve payment. The fee is a Terminal Tax service charge for the filing session. There is no subscription, and there is no charge to create or review a return that is not transmitted. Card details are entered only on the payment processor's own hosted page, never into a Terminal Tax page, an application programming interface, a chatbot, or an agent. Terminal Tax receives only limited payment references and status. After every required person has signed, Terminal Tax authorizes a hold for the displayed maximum, then queues the signed package. Settlement is resolved separately for each taxing authority. If an authority accepts, Terminal Tax captures only that authority's displayed charge. If an authority rejects, Terminal Tax does not capture that authority's charge and releases it. If a transmission definitely fails before the authority receives it, Terminal Tax releases that authority's hold. If the outcome of a send is unknown, Terminal Tax does not treat the return as accepted or rejected, does not retransmit, and holds the authorization while it resolves the status; it captures only after acceptance is authoritative and releases if non-receipt or rejection becomes authoritative. Terminal Tax does not charge one jurisdiction to subsidize another authority's failure, and does not capture merely because a transmission was started. ONE CHARGE CAN HAPPEN AFTER YOU HAVE LEFT, AND THIS IS THE ONLY PLACE YOU ARE TOLD SO. When you authorize payment, the card you used is stored with the payment processor for this filing. If a hold is released or lost - for example, because it expired while a taxing authority had not yet answered - and that authority afterwards accepts the return, Terminal Tax charges that stored card for that authority's displayed price without you being present and without asking again. That charge is never more than the amount shown to you before you authorized payment, happens at most once for each accepted filing, and cannot happen for a return that was not accepted. You will not receive a separate message about that charge; the message telling you the return was accepted is the message you receive. If you do not want a card stored for that purpose, do not complete payment authorization; the filing cannot proceed without it. CORRECTING A REJECTED RETURN COSTS NOTHING. Terminal Tax keeps no money for correcting and retransmitting a return a taxing authority rejected. Depending on how you return to Terminal Tax to make the correction, the session may show you the ordinary price, and a temporary authorization may be placed on your card, before the session recognizes that this filing is a correction. Terminal Tax does not capture such an authorization for a corrected filing; it is released. 11. FILING STATUS, REJECTION, AND DEADLINES A return is filed only when the taxing authority accepts it. A submission, a queue position, or a payment authorization is not acceptance. If an authority rejects your return, Terminal Tax sends you the date of the rejection, the authority's submission identifier, the rejection rule codes with fixed explanations of what they mean and what to do next, and instructions for correcting the return, signing it again, and retransmitting it. Where the return cannot be accepted electronically, that message also tells you how to file it on paper and by when: the later of the applicable filing due date, including extensions, or ten calendar days after the rejection. You remain responsible for filing and paying on time. Authority downtime, maintenance, congestion, identity-protection holds, duplicate filings, unsupported forms, and business-rule rejections may prevent acceptance. If a status is ambiguous, do not file a duplicate unless authoritative guidance establishes that you should. Near a deadline, use another filing method if timely acceptance is uncertain. 12. IF SOMETHING IS WRONG WITH THE RETURN ITSELF Terminal Tax transmits what you reviewed and signed. It does not check whether the return is substantively correct, and it cannot. If a taxing authority assesses additional tax, penalty, or interest because a fact on the return was wrong, incomplete, or based on the wrong form, that is between you and that authority. Section 16 states what Terminal Tax is and is not responsible for. 13. PRIVACY AND INTERNAL REVENUE CODE SECTION 7216 The Terminal Tax privacy notice explains what is collected, how it is used, who receives it, how it is secured, and how long it is kept. Terminal Tax uses tax return information only for transmission-related mechanical processing, filing, acknowledgement, security, payment, legally required operations, retention, and access you direct. It does not sell return information, advertise with it, or use it to train models. Any consent under Internal Revenue Code section 7216 must be a separate, specific, voluntary instrument on its own screen. The only one the filing session may offer is the optional consent to share your filing's status with your AI assistant. THESE TERMS ARE NOT THAT CONSENT, and Terminal Tax will not treat a mandatory general agreement as permission for a use or disclosure that needs one. 14. RECORDS AND RETENTION Save the final return and the acknowledgements Terminal Tax provides. Terminal Tax is not a return-history or document-storage service. Terminal Tax keeps return, signature, permission, terms, payment, transmission, acknowledgement, and security evidence for the periods, and with the exceptions, that the retention section of the privacy notice states. Deletion requests remain subject to filing, legal, security, and dispute obligations. 15. AVAILABILITY AND SUSPENSION Taxing authorities may close, reject, delay, suspend, or withdraw electronic filing access. Terminal Tax may stop or refuse a session that is expired, altered, duplicated, unauthorized, unsupported, unsafe, unpaid, legally prohibited, or inconsistent with an authority's rules. There is nothing to cancel, because there is no account and no subscription. If Terminal Tax's own authorization to transmit is suspended or withdrawn, it will stop transmitting and tell you what that means for your filing through the contact channel you gave. 16. WHAT TERMINAL TAX PROMISES, AND WHAT IT DOES NOT Terminal Tax promises to use reasonable care to transmit the exact immutable return each signer approved, as approved, and to report the taxing authority's acknowledgement to you. TERMINAL TAX DOES NOT PROMISE THAT A RETURN IS SUBSTANTIVELY CORRECT, THAT AN AUTHORITY WILL ACCEPT IT, THAT A REFUND WILL ARRIVE BY ANY DATE, OR THAT THE SERVICE WILL ALWAYS BE AVAILABLE. To the extent the law allows, the service is otherwise provided as is, and implied warranties are disclaimed. TERMINAL TAX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST OPPORTUNITY, arising out of the service. TERMINAL TAX IS NOT RESPONSIBLE FOR TAX, PENALTY, OR INTEREST that a taxing authority assesses because of a fact, figure, form, treatment, or omission in the return you reviewed and signed, or because you filed late, or because you chose the wrong return. HOW MUCH TERMINAL TAX CAN OWE YOU. Two limits apply, and they are deliberately different sizes, because the one harm this service exists to prevent is a signed return that does not reach the taxing authority. If Terminal Tax fails to transmit a return you signed, or transmits something other than what you signed, the most it can owe you for that failure is the greater of 500 US dollars or the late-filing penalty, late-payment penalty, and interest a taxing authority actually assessed against you because of that failure, up to a total of 2,500 US dollars. That limit applies to each filing. Nothing in these Terms caps what Terminal Tax owes across all its customers, or reduces what you can recover because other people were affected by the same failure. For every other claim arising out of the service, the most Terminal Tax can owe you is the greater of 100 US dollars or what you paid Terminal Tax for the filing the claim concerns. THOSE TWO LIMITS DO NOT REACH ANY OF THE FOLLOWING, and Terminal Tax says so expressly rather than leaving it to be implied: its own gross negligence, recklessness, willful misconduct, or fraud; any liability the law does not permit to be limited; and any right you have that the law does not permit you to waive. Terminal Tax remains responsible for its own failure to use reasonable care in transmitting what you approved, for its own handling of your information, and for anything the law does not permit it to disclaim. NOTHING IN THESE TERMS WAIVES, LIMITS, OR CONDITIONS ANY RIGHT YOU HAVE THAT THE LAW DOES NOT PERMIT YOU TO WAIVE, including rights under the New Jersey Consumer Fraud Act and any comparable law of your own state. 17. NO INDEMNITY FROM YOU Terminal Tax does not ask you to indemnify it, defend it, or hold it harmless. This section exists so that its absence is deliberate and cannot be read into these Terms from anywhere else. 18. DISPUTES AND GOVERNING LAW TERMINAL TAX DOES NOT REQUIRE ARBITRATION, AND THESE TERMS CONTAIN NO ARBITRATION CLAUSE, NO JURY-TRIAL WAIVER, AND NO CLASS-ACTION WAIVER. You keep every forum the law gives you, including the right to sue in court, the right to a jury, and the right to take part in a class action. If a later version of these Terms ever adds an arbitration requirement or a class-action waiver, that version will apply only to a filing you accept it for, and it can never reach this one. Before starting a formal proceeding, please write to legal@terminal.tax describing the problem and what you want. Terminal Tax will answer within 30 days. This step is a request, not a condition of your right to sue, and it does not extend or shorten any deadline that applies to your claim. You may bring an individual claim in small claims court in the county where you live, if it qualifies there. These Terms are governed by the law of the State of New Jersey, without regard to its conflict-of-laws rules, except where the law of the state where you live gives you a right that New Jersey law would not, in which case that law applies to that right. Any proceeding not brought in small claims court may be brought in a state or federal court in New Jersey, and Terminal Tax consents to that venue; nothing in this paragraph prevents you from bringing a claim where the law otherwise permits you to bring it. 19. IF PART OF THESE TERMS DOES NOT HOLD If a court finds a provision unenforceable, that provision drops out and the rest of these Terms continues in force. FOR NEW JERSEY, SPECIFICALLY. New Jersey law does not let a consumer contract say that its provisions may be void or unenforceable in some places without saying which ones are void or unenforceable in New Jersey. So these Terms say it, provision by provision, rather than telling you that something may not apply to you. Section 16's exclusion of indirect, incidental, special, consequential, and punitive damages, and of lost profits and lost opportunity, applies in New Jersey. Section 16's two limits on how much Terminal Tax can owe you apply in New Jersey. They do not apply, in New Jersey or anywhere else, to Terminal Tax's own gross negligence, recklessness, willful misconduct, or fraud, or to any liability New Jersey law does not permit to be limited. Section 16's disclaimer of implied warranties applies in New Jersey only so far as New Jersey law permits a warranty to be disclaimed, and it does not reach a warranty New Jersey law does not permit to be disclaimed. Section 18's choice of New Jersey law and New Jersey venue applies in New Jersey, and does not prevent you from bringing a claim in small claims court where you live. Your rights under the New Jersey Consumer Fraud Act, N.J.S.A. 56:8-1 and following, and under the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act, N.J.S.A. 56:12-14 and following, are not waived, limited, or made inapplicable by any provision of these Terms, and no provision asks you to waive them. These Terms contain no provision by which you waive a right under either act. No other provision of these Terms is void, unenforceable, or inapplicable in New Jersey. 20. CHANGES The version displayed and accepted in a filing session governs that filing. Terminal Tax may change future versions, but never retroactively replaces the hash-bound text a signer accepted. A material change requires fresh notice and fresh acceptance for a later filing. 21. CONTACT Terminal Tax LLC legal@terminal.tax
